These Terms of Service ("Terms") form a binding agreement between you and Arship LLC ("Arship," "we," "our," or "us"). They govern your use of the Arship mobile application and any related services we offer (the "Service"). By creating an Arship account or using the Service, you agree to these Terms.

Please read sections 6 (User-Generated Content), 7 (Music Copyright & Licensing), 14 (Disclaimers), and 15 (Limitation of Liability) carefully. They limit our liability and place important obligations on you. If you do not agree to any part of these Terms, do not use the Service.

1. Eligibility & Account Registration

To create an Arship account on your own behalf, you must be at least 13 years old. If you are under 13, a parent or legal guardian must create the account for you under our COPPA-compliant child-account flow described in our Privacy Policy and on our Parent Direct Notice page. Without verifiable parental consent obtained through that flow, we will not knowingly collect personal information from a child under 13.

You agree to provide accurate, current, and complete information during registration, and to keep it updated. You may not register an account on behalf of another adult without their authorization.

2. The Service

Arship is a private-team collaboration tool for worship teams and similar music groups. Through the Service, you can:

Arship is designed for private team rehearsal use only. Recordings and messages are visible only to current members of the team you place them in. Arship is not a publishing platform, broadcasting service, or commercial-release distribution channel.

3. Your Account & Security

You are responsible for safeguarding your account credentials and for any activity that occurs on your account. Notify us immediately at support@arship.app if you suspect unauthorized access.

You may not share an account with another person, sell, transfer, or assign your account, or create multiple accounts to circumvent enforcement of these Terms.

4. Privacy

Our handling of your information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge our practices as described there.

5. Fees, Subscriptions, & Free Use

The Service may offer free and paid tiers. If we introduce paid features, the specific pricing and billing terms will be presented to you before purchase. Unless explicitly stated otherwise, fees are billed through Apple's App Store (iOS) or Google Play (Android), subject to those platforms' terms. We are not responsible for billing disputes governed by those platforms.

We may modify our fees and tiers with reasonable notice. Continued use of paid features after a fee change constitutes acceptance of the new fees.

6. User-Generated Content

"User Content" means any content you create, upload, post, transmit, or display through the Service, including voice recordings, photos, messages, comments, lyrics, song lists, notes, and any other materials.

6.1 You retain ownership of your User Content

You retain all ownership rights in your User Content. We do not claim any ownership of your recordings or other contributions.

6.2 License you grant to Arship

By submitting User Content to the Service, you grant Arship a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, transmit, display, perform, and otherwise use that User Content solely to operate, provide, and improve the Service for you and the team members you designate. This license terminates within a commercially reasonable period after you delete the User Content or your account, except (a) for backup copies retained per our standard retention schedule and (b) where retention is required by law.

You also grant your fellow team members a license to view and listen to the User Content you share within that team, for the limited purpose of participating in the team's rehearsal activity.

We reserve the right (but have no obligation) to review, monitor, or remove any User Content for any reason, including violation of these Terms, our Acceptable Use Policy, or applicable law. We do not pre-screen User Content.

Most worship songs and other musical works are protected by copyright. Two separate rights are typically involved when you record yourself performing a song:

7.1 You are responsible for licensing

You are solely responsible for obtaining any licenses, permissions, or consents required to record, reproduce, distribute, or perform copyrighted music through the Service. Required licenses may include, depending on your context:

If you are unsure whether you or your team has the right to use a particular song through Arship, do not upload that content until you confirm. See our Copyright FAQ for plain-language guidance.

7.2 Arship is not your licensor

Arship does not license musical works to you and does not represent that any particular use is authorized. The Service is a tool you use to record and share your own performances with your private team; obtaining the rights necessary for those performances is your obligation, not ours.

7.3 No commercial release

You may not use the Service to create, distribute, publish, broadcast, stream, monetize, sell, or otherwise commercially exploit recordings of copyrighted musical works. The Service is for private team rehearsal and review only. If you wish to release a recording commercially, you must export the recording, obtain all necessary licenses outside the Service, and distribute it through an appropriate channel.

7.4 No upload of commercial sound recordings or licensed stems

You may not upload commercial sound recordings (e.g., songs purchased from iTunes, Spotify rips, CD rips), nor any multitrack stems, click tracks, guide tracks, or backing tracks licensed to a specific church or organization (including but not limited to content from MultiTracks, Loop Community, or similar services), unless you have express written permission from the rights holder.

8. Copyright Complaints & DMCA

Arship complies with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe content on the Service infringes your copyright, please review and submit a notice as described in our DMCA Policy. A counter-notification procedure is also available.

Repeat infringers. We will, in appropriate circumstances and consistent with the DMCA, terminate the accounts of users who are determined to be repeat infringers. Three valid DMCA takedown notices against the same user account will, absent extenuating circumstances, result in termination of that account.

9. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated by reference. Prohibited conduct includes (without limitation): uploading content you do not have the right to share; uploading commercial sound recordings or licensed stems; harassing or harming other users; circumventing security measures; reverse-engineering the Service; and using the Service for any unlawful purpose.

10. Third-Party Services

The Service relies on third-party providers (including Google Firebase, Apple Sign-In, Google Sign-In, and email delivery via Resend). Your use of those features is also subject to those providers' terms. We are not responsible for third-party services we do not control.

11. Feedback

If you send us suggestions, ideas, or other feedback about the Service, you grant us a perpetual, royalty-free license to use that feedback to improve Arship without obligation to you.

12. Suspension & Termination

You may delete your account at any time from within the Service's Settings. We may suspend or terminate your account, with or without notice, if you violate these Terms, our Acceptable Use Policy, or the DMCA repeat-infringer policy; if required by law; or if continued operation of your account would expose Arship or our users to risk.

Sections 6.2 (license to host User Content for the purposes stated), 7 (Music Copyright), 13 (Changes), 14 (Disclaimers), 15 (Limitation of Liability), 16 (Indemnification), 17 (Governing Law), and 18 (Miscellaneous) survive any termination.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice — for example, by in-app announcement, by email to the address associated with your account, or by updating the "Last updated" date above and prompting acceptance on next sign-in. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, your remedy is to stop using the Service and delete your account.

14. Disclaimers

The Service is provided "as is" and "as available," without warranty of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

Without limiting the above, we do not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components, nor that any content (yours, your teammates', or otherwise) will be preserved, recoverable, or accurate. Recordings and other User Content can be lost due to user error, device issues, or service failures; you are solely responsible for maintaining your own backups.

15. Limitation of Liability

To the maximum extent permitted by law, in no event will Arship LLC, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation damages for lost profits, lost revenue, lost data, business interruption, or any other commercial damages or losses, arising out of or related to these Terms or the Service, regardless of the theory of liability and regardless of whether Arship has been advised of the possibility of such damages.

Arship's total cumulative liability arising from or related to these Terms or the Service is limited to the greater of (a) the amount you have paid Arship in the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of incidental or consequential damages. In such jurisdictions, the above limitations may not apply to you and our liability is limited to the greatest extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Arship LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or related to:

We reserve the right to assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defense.

17. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to these Terms or the Service are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-laws principles.

You agree that any legal action or proceeding arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Michigan, and you consent to the personal jurisdiction and venue of those courts.

You agree that any claim you may have against Arship must be brought within one (1) year after the cause of action arises; otherwise the claim is permanently barred.

18. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, DMCA Policy, and any in-app notices we provide, constitute the entire agreement between you and Arship and supersede any prior agreements regarding the same subject matter.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms or any rights or obligations without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, or sale of assets.

No third-party beneficiaries. These Terms do not create third-party beneficiary rights.

Apple App Store / Google Play. If you obtained the Service from the Apple App Store, you acknowledge and agree that these Terms are between you and Arship only, not with Apple; Apple is not responsible for the Service or its content. Apple, however, is a third-party beneficiary of these Terms and may enforce them against you. Equivalent terms apply to Google Play.

Export controls. You may not use the Service in violation of U.S. export control laws.
